Setup Cost
Setup fee includes the setup of your Xüdle system, “Standard” theming of your Online Store plus 1:1 training (Startup: 2 hours, Boutique: 4 hours, Midsize: 6 hours, Enterprise: custom quote).
Variable Monthly Service Fee

Merchant Service Provider
You are required to register with both a merchant service provider and payment gateway in order process credit card payments with the Xudle suite of tools.
Xudle has partnered with Open Edge, a division of Global Pay as our preferred Merchant Service Provider. The benefits of partnering with Open Edge include aggressive rates, EMV chip-card reader option, decline minimizer tools (for decreasing the number of declined credit cards during your auto-billing cycle) and seamless gratuity handling. Open Edge also serves as a payment gateway, eliminating the need for additional fees and services from a provider like Authorize.net.

If you opt to not use Open Edge, you will be required to sign up with Authorize.net as your payment gateway. Contact your Merchant Service Provider or Authorize.net to assist with setting up your account.
Hardware & Network
Xüdle does not provide hardware or network support for your POS system. We recommend working with a professional IT provider for both your hardware and network needs. Hardware recommendations can be discussed with your Account Representative. It is your responsibility to purchase and maintain all hardware used for the Xüdle system.
Internet Requirements
Xüdle is a cloud-based system and therefore is dependent upon a reliable and strong internet connection. Xudle does not supply IT support and therefore recommends you work with an IT professional. Our system requires a reliable internet connection (both your ISP bandwidth and your local network environment).
Some considerations for the tasting room environment:
- X-POS should have a dedicated network to help avoid degraded connectivity.
- Guest access should be restricted, at a minimal throttled back or on a separate Wi-Fi network
- Avoid streaming media, excessive device connectivity, etc. if you don’t have high ISP bandwidth available
- Access point(s) should be in good locations to ensure a strong (100%) signal to each device
- A typical transaction should take 20-30 seconds, login-to-checkout, on a fair network connection.
Onboarding & Training
Making sure you transition smoothly from your existing system into Xüdle is our top priority. The anticipated setup of the system (including theming of the e-commerce system) typically runs 30 days but depends heavily on you and your team.
Upon acceptance of this agreement you will receive a 30-minute plan-of-action call with your Account Representative. They will set up your Admin account, provide login credentials and get you started in the self-paced training phase of your Xüdle setup. Because we do not have intimate knowledge of your business or products we do not include any setup or data-entry services including but not limited to: clubs, categories, products, inventory, tax rates or shipping data.
Additionally, your Account Representative will allocate time for Q/A during the course of your onboarding, equating to a total of (Startup: 2 hours, Boutique: 4 hours, Midsize: 6 hours, Enterprise: custom quote) of 1:1 onboarding. If additional 1:1 training is required, advanced training fees will apply. Online support is available via the Xüdle admin and includes videos and step-by-step guides in addition to the Walk-Me tours that guide you through the system setup. You may also use our online ticket support system for online assistance 24/7/365.
Advanced 1:1 training, technical support & professional services are provided as a pay-per-use service; in which actual time spent providing you with these services are tracked and invoiced at a rate of $100 per hour. You will be notified once your 2-hours of onboarding support have been reached in which case you can decide if additional support is required.
The Fine Print
This constitutes a contract for services with Xüdle, Inc. (also referred to as “XI”, “we”, “us” and “our”). The terms and conditions set forth herein and the front side hereof are agreed to by the signor (the Client also referred to as “you” and “your”). Xüdle is a proprietary, cloud based, software platform created, owned and maintained by Xüdle, Inc.
Invoicing Schedule & Payments:
System setup and services will begin on receipt of the “Setup Fee” and prorated “Service Fee”. We require a major credit card (MasterCard, Visa, or AMEX) to be held on file to be automatically debited on the 1st of each month for the monthly recurring “Service Fee”. There are no refunds for any services rendered or provided by us nor 3rd party vendors associated with or connected with our services.
Term of services are month-to-month, the “Monthly Service Fee” is subject to change, at each billing cycle, based on your average total gross sales from the previous 3 months. You may opt-out by sending us a 30-day advanced written notice for cancelation of service prior to the automatic renewal term. All outstanding balances are due at the time of cancelation of recurring services, service fees are not prorated and the remaining service payment will be due at cancelation.
Fees associated with declined credit card transactions will be invoiced to you. Invoices unpaid within 5 business days will be charged a late fee of $25 plus 3% of the balance due each subsequent day.
Failure to pay invoices within 5 business days will result in deactivation of your services and your account causing your services, website, and/or software tools to be inaccessible. A service restoration fee of $100 will be charged upon reactivation of your account. A copy of all invoices are emailed to your primary and/or designated account contact(s).
Ownership and Usage:
We are provisioning a cloud based (hosted) software platform. You are granted a user license for 1 specified business and website domain. As a hosted platform you understand: (a) the Xüdle system cannot be installed or utilized with any other service provider; (b) by default the Xüdle system is a packaged software that is not customizable beyond its current features – fulfillment of requests for customization and rollout of new features or components is at our sole discretion, some features/services may be available at an additional cost; (c) the Xüdle system is owned & maintained by us and we reserve all rights to the software and its source code, components, functions, features as well as any custom components that may be developed for your business, point-of-sale, and/or website (or webstore); (d) a device license is required for each device connecting to the X-POS service, your license can be swapped between devices at your discretion using the Xüdle admin or X-POS system.
Third Party Software:
a run license may be necessary to use some media and/or server-side components integrate software from other 3rd Party Vendor(s) into the applications or systems developed to meet your needs, you agree to abide by any licensing agreements set forth by the 3rd Party Vendor(s). All costs incurred with additional licensing or 3rd Party software will require your approval and will be licensed & invoiced to you. We reserve the right to utilize and/or resell applications or components developed by us without notice to or agreement of you. In the event that we utilize or resell these applications or components your branding and/or sensitive and proprietary information will be removed by us.
Content & Materials: You are responsible for the intellectual ownership and rights of the creator of the provisioned collateral, content, photos, etc. displayed (published) throughout your website or webstore
including all materials delegated to us for use in the design and development of the framework theme, category, product pages, etc. We are not responsible for the integrity of, royalties, or the collection of
permissions for usage of content you publish on your website or webstore. Should you elect to utilize any stock photos as part of your web store’s design, graphics or content; you are responsible for any applicable licensing fees. You accept liability and management of all graphics and content associated with your web store.
Maintenance & Transactions:
You are responsible for: (a) input, maintenance and accuracy of all content & data entry including but not limited to: content, products, pricing, shipping rates, promotions, discounts, etc.; (b) payments & transactions made on your webstore including any purchases that may have been made in error whether due to your management, data entry or Xüdle system errors; (c) all third party
payment/transaction processing fees (ex. Authorize.net, merchant account, etc.); (d) all related transactions on the web store including but not limited to: inventory management, order processing & fulfillment, shipping, returns, etc.
Compatibility & Limited Warranty:
Our solution is developed and tested for compatibility with most popular web browsers and devices. Due to the large variety and ever-changing technology of web browsers and devices, we cannot guarantee that our solution and services will work with your preferred browser and/or device(s). We do not validate or modify 3rd party code or widgets for compatibly with Xüdle CMS (content management system). We include a limited warranty for bugs (coding errors) found in functionality of the Xüdle system. Warranty begins at time of the setup of your Xüdle solution and is effective so long as you are subscribing for Xüdle services. Bugs reported will be repaired at no additional cost to you within a reasonable timeframe. Any request for modification or enhancement to your web solution is not covered by this limited warranty and are subject to our service rates.
Client Confidentiality:
We will not share nor disclose in any shape or form trade secrets, methods or otherwise relating to your confidential means of operations or way of doing business. We however, reserve the right to showcase or demonstrate our services and/or produced deliverables to the extent that confidentiality is not an issue. Likewise, you may not disclose any trade secrets, strategies, marketing tactics, pricing, service rates or otherwise relating to the software and services being provided to you.
Limitation of Liability & Arbitration:
Neither XI, its agents or employees shall be jointly, severally or individually liable to the Client in excess of the compensation to be paid pursuant to this Agreement by reason of any act or omission, including breach of contract or negligence not amounting to a willful or intentional wrong. All disputes, controversies or claims arising out of or relating to this Agreement shall be submitted binding arbitration in Riverside County, California in accordance with the then prevailing rules of the American Arbitration Association (AAA); one arbitrator shall be chosen by AAA. Attorney's Fees: In the event either party hereto shall institute any legal action or proceeding arising out of this Agreement, including arbitration, against the other party, it is agreed that in such action or proceeding, the prevailing party shall be entitled to reasonable costs therein, and such further and additional sums as and for attorney's fees as the court or arbitrator in such action or proceeding may adjudge to be reasonable. Attorney's fees incurred in enforcing any judgment are recoverable as a separate item, and this post judgment attorney's fees provision is intended to be severable from the other provisions of the contract, to survive judgment, and is not to be deemed merged into the judgment.
Miscellaneous Provisions:
Though we have expert experience and a high success rate; many success factors are not in our control therefore we do not guarantee any results that can or will be achieved. You agree to abide by our general terms of service and acceptable use policies; which are subject to change without notice. Service Authorization:
By signing up for our services, you agree that you have the authority to engage Xüdle as the client or as a representative of the client in your individual capacity. By registering you agree that you have read and understand the description of services and terms of this service agreement and hereby engage your organization to begin all work, services and payments as described. The entered billing information will be charged the setup fee plus pro-rated first month’s service fee. Your billing information will be held on file and automatically debited on the 1st of each month for monthly recurring service fees.
